General Terms and Conditions of Sale


1. Seller

Besa BV with its registered office at Rodeheide 86, 3980 Tessenderlo in Belgium, is registered in the Kruispuntbank der Ondernemingen under VAT number BE0867 533 752 and with bank account number IBAN BE54 7785 9506 0497.

2. Application

Each order is considered as acceptance by the buyer of our general terms and conditions, which form an integral part of the agreement, to the exclusion of all other general or special terms and conditions emanating from the buyer, unless expressly stated otherwise in writing.

3. Prices and product information

All our prices are in Euro () including 21% VAT. Unless otherwise stipulated, our prices do not include transport and delivery of the goods to the buyer. The costs of transport and delivery are stated separately. 

For a product, the price and action stated at the time of ordering always apply. The seller reserves the right to change and correct the prices of the products and the product information. If shortly afterwards a product already purchased turns out to be discounted, no claim can be made for a refund of the price difference. 

The seller tries to make the product descriptions and photographic material as clear and correct as possible. Information about the articles (such as sizes and materials) is always indicative and color shades on the picture may vary slightly from real colors. You can always get more information about our offer by contacting us by e-mail.

4. Acceptance of the order

The seller shall only be bound by an order after he has confirmed it in writing or after he has started with its execution. The information on the products and pricing, as well as the detailed order information, is compiled and communicated subject to change and corrections.

5. Delivery and shipping costs

Besa BV will deliver your order via parcel service within 3 to 8 working days after receipt of the payment, unless stated otherwise in the article description, or in case of force majeure. The delivery time is indicative and is given for information only. Besa BV cannot be held responsible for delays caused by processing procedures at the courier service or customs offices at destination or possible strike or any other form of force majeure (weather, traffic jams, accidents, failure of machinery, etc.). Possible delays in delivery times do not give the buyer the right to cancel his order or to refuse the goods and shall under no circumstances give rise to compensation. The seller cannot be held responsible for delays incurred beyond the seller's control. The seller has the right to make partial deliveries. 

Your order will be neatly and securely packed and Your package will be delivered to your home or to an address of your choice. You can enter any address: your work address, family, etc. If nobody is home at the address, the package will be offered again one day later. If nobody is home, Besa BV will be notified by the parcel service and we will try to contact the buyer to make an arrangement.

In case of non-delivery of the goods, either due to an error of the courier service or due to any other form of force majeure, any amount paid by the buyer will be refunded without interest, other compensation or shipping costs. In case of an erroneous order, the seller is not responsible, however, the buyer may choose to return the erroneously ordered goods at his own risk and expense, if possible the articles undamaged, in their original condition and packaging, to Besa BV located at Rodeheide 86, 3980 Tessenderlo in Belgium. Incorrect delivery addresses are the responsibility of the buyer and may result in additional costs.
 
Why no free shipping?
This is very simple: Your goods are always packed with the greatest care and securely for you, to get your package with goods intact and without worry. In addition, we also have to take into account heavier weights and the processing and packing of your order takes more time and attention. The costs incurred for processing and shipping must be paid one way or another. Most online shops pass on these costs as a kind of surcharge in the selling price of the products. We could easily make our products all just a little bit more expensive and thereby pretend that we do not charge shipping costs - as usually happens with other webshops.

However, we think this is unfair because in this way customers who order multiple items are penalized by actually being charged double shipping costs. The webshops that do not charge shipping costs, thus earn without you realizing it, on the 'no shipping costs'...
We prefer to keep the costs open and honest!

Our shipping costs are always calculated in the shopping cart according to an address in Belgium or other countries within Europe and this according to weight and size of the items. If you still have questions about our shipping costs, you can always contact us by e-mail.

6. Complaint Procedure

We do everything we can to deliver a good product. Upon receipt of your order you should immediately inspect the delivered goods and report any defects immediately by e-mail. If an item is not delivered according to your order or does not meet the description on our website, you should report this to us immediately. This can be done by sending an e-mail to klantenservice@besa-sloten.be. Please mention your customer number and the delivery note number AFXXXXX. Upon receipt of your complaint we will handle it as soon as possible and within 14 working days.

The user-friendliness and completeness of our webshop for you, is for us a very important item. Therefore we are open to comments or improvements, you may always send them by e-mail with a print screen or a link to the relevant page or product.

Service is high in our standard, if something is not right or the product does not otherwise comply (of course within a reasonable period after your purchase), please always contact us! We will do our utmost to find the best possible solution for you!

If we still can't find a solution via our personal complaint service: klantenservice@besa-sloten.be, then you as a consumer can contact Safeshops.be. Safeshops.be will mediate between you as a consumer and us, if your complaint is accepted by them. Only complaints submitted through the complaint form of Safeshops.be will be processed. Thus, this label organization immediately has all the correct data to further process your complaint.

7. Legal warranty

e apply to the delivery of goods the minimum legal warranty of two years, if the good is not in conformity with the order placed. This means that in the event of defects or malfunction of the goods, a free repair or replacement is possible up to two years after delivery, except in the case of defects or effects due to vandalism or faulty assembly.

To the extent possible and reasonable, you shall have the choice between repair or replacement. Only in the event that the repair or replacement is excessive or impossible or cannot be carried out within a reasonable period of time do you have the right to demand a price reduction or rescission of the sales contract.

If the defect or fault becomes apparent within six months of delivery, it will be deemed to have already existed before delivery unless we can prove otherwise. After six months, you yourself will have to prove that the defect was already present at the time of delivery.

8. Right of withdrawal

In the framework of distance selling to consumers falling within the scope of application of the Act of 14 July 1991, amended by the Act of 6 April 2010, consumers have the right to inform the seller that they wish to cancel the purchase, without paying any penalty and without giving any reason, within fourteen working days from the day following the delivery. To exercise your right of withdrawal, you can also use the "FORMUL FOR RETRACTION". You can send this form to klantenservice@besa-sloten.be or Besa BV, Rodeheide 86, 3980 Tessenderlo, Belgium.

In case the consumer invokes this option, he/she shall return the goods within 14 calendar days at his/her own risk and expense to Besa BV, Rodeheide 86, 3980 Tessenderlo, Belgium. We kindly ask you, if possible, to return the goods undamaged, in original condition and in original packaging. Upon receipt of the goods, we apply a refund period of 14 calendar days.

Goods that have been designed or ordered specifically for the buyer cannot be returned and the buyer therefore cannot invoke the right of withdrawal. The seller reserves the right to refuse returns in the event of suspected damage caused by a party other than the seller or the supplier of the item. 

In the event of non-delivery of the goods, whether due to an error by the courier service or any other form of force majeure, any sums paid by the Buyer will be refunded without interest, other compensation or shipping costs. In case of an erroneous order, the seller is not responsible, however, the buyer may choose to return the erroneously ordered goods at his own risk and expense, in their original packaging and in an undamaged and unused condition, to Besa BV, Rodeheide 86, 3980 Tessenderlo, Belgium. Incorrectly communicated delivery addresses are the responsibility of the buyer and may result in additional costs. Shipping costs in the shopping cart are always calculated according to an address in Belgium or other countries within Europe and according to weight of the articles.

9. Force majeure

The seller cannot be held responsible for delays in the execution or the non-execution of its commitments arising as a result of events beyond its normal control, including production interruptions, difficulties in acquiring or shortages of raw materials, work force, energy or transport or delays in transport, strikes, lock outs, work interruptions or other collective labour disputes affecting either the seller or ourselves or our suppliers, even if these events are foreseeable.

The seller cannot be held responsible for delays incurred, beyond the seller's control. In the event of non-delivery of the goods, whether due to an error by the courier service or any other form of force majeure, any sums paid by the Buyer shall be refunded without interest, other compensation or shipping costs.

10. Prices and payments

All products offered through E-commerce are payable in advance through the payment methods offered unless otherwise stated or agreed. Invoices are payable directly to Besa BV with its registered office at Rodeheide 86, 3980 Tessenderlo, Belgium by the due date, net without discount, unless otherwise indicated on the invoice. To be admissible, any complaint regarding invoices must be formulated in detail by registered letter within three (3) days of receipt of the invoice. 

In the event of overdue payments, interest will be charged on the outstanding invoice amounts at a rate of 1% per month from the invoice date, ipso jure and without any prior notice of default being required. In the event of non-payment and if a reminder sent by normal post has not been effectual within 14 days, fixed damages amounting to 10% of the outstanding amounts will also be payable, with a minimum of 50.00 euros. 

The vendor reserves the right in the event of the total or partial non-payment of an invoice on the due date or any other breach by the buyer of his obligations under the agreement, to suspend the execution of all agreements with the buyer or to terminate them with immediate effect, ipso jure and without notice of default, without the need for any judicial intervention, and to demand immediate payment of all debts, even those not yet due, or to make the delivery only in exchange for cash payment, notwithstanding previous agreements and without prejudice to any other rights that the vendor may be able to enforce. Failure to take immediate action against a shortcoming on the part of the buyer may under no circumstances be regarded as a waiver by the seller of the right to invoke this shortcoming at a later date.

11. Retention of title

Contrary to article 1583 of the Civil Code, Besa BV remains the owner of the sold goods until the day of full payment of the price, including all costs and charges, interest on arrears and compensation. In the event of non-payment the seller reserves the right to take back the goods, by law and at the expense of the buyer. 

12. Proof

Electronic evidence (for example: e-mails, back-ups, etc.) shall be accepted by all parties concerned within the framework of the sales agreements and relationships.

13. Severability

If any of these conditions should be declared null and void or inapplicable, the remaining conditions shall nevertheless remain in full force and effect to the extent permitted by law.

14. Age

By ordering you declare that you are over 18 years of age and responsible for your act of purchase.

15. Applicable law

Disputes concerning the conclusion, validity, interpretation or execution of the contract or of these general terms and conditions are governed solely by Belgian law and fall under the exclusive jurisdiction of the courts of Turnhout.
